Breach of Contract

Ohio business litigation counsel for non-payment, defective performance, missed deadlines, and other broken promises.

A contract is meant to give a business a clear understanding of what it can expect and what it must provide. When another party does not pay, performs defective work, misses a deadline, or violates a confidentiality or non-compete clause, the resulting disruption can reach far beyond the agreement itself.

We represent small to mid-sized businesses and entrepreneurs in evaluating contract disputes, protecting their position, and pursuing practical relief. We begin with the agreement and the business records that show what happened, then assess the available remedies and the most effective next step.

Elements of a breach of contract claim

A strong claim generally begins with four questions: Was there a valid contract? Did the client perform, or remain ready and able to perform, its obligations? Did the other party breach the agreement? What damages resulted from that breach?

  • The terms of the agreement and any incorporated documents
  • The parties’ performance, communications, invoices, and records
  • The specific act or omission that violated the contract
  • The financial and operational harm caused by the breach

Leverage points in a business contract

The language of a contract often determines where the parties have leverage. We examine contract interpretation, notice and cure provisions, deadlines, pricing terms, change orders, limitation-of-liability clauses, and the records showing how the parties understood and performed the deal.

For transactions involving goods, the Uniform Commercial Code may also shape the parties’ rights and remedies. The agreement, the type of transaction, and the conduct after signing all matter.

Business contract disputes we handle

  • Service agreements and vendor disputes
  • Sales and purchase agreement breaches
  • Partnership and business-owner disputes

From demand letter through trial

Some disputes can be resolved with a well-supported demand letter and a focused negotiation. Others require discovery, expert analysis, motion practice, or trial. We help clients weigh the cost, timing, business consequences, and likely value of each path while preserving the evidence needed to pursue the claim.

If a contract dispute is affecting your business, a confidential consultation can help clarify what the agreement requires and what options may be available.
